Associate – Aviation Finance

Salary Range $300,000 – $360,000
Our client is looking for a highly skilled associate to join its Finance practice with a focus on aviation-related transactions. The firm’s aircraft finance team represents a wide variety of clients, including major banks, private equity firms, leasing companies, airlines, investors, traders, and manufacturers. The role will involve handling complex aviation transactions, including financing (both lending and capital markets), leasing, trading, restructuring, enforcement of aviation assets, and creating joint ventures and leasing platforms.
Key Responsibilities:
- Lead and manage financing transactions, including secured, unsecured, and capital markets deals, particularly those valued at over $100 million.
- Draft, review, and negotiate key legal documents, such as credit agreements, indentures, leases, and purchase agreements.
- Provide expert advice to clients on interpreting and navigating complex transactional documents.
- Work on aviation finance and leasing matters, addressing corporate, tax, and insolvency issues as they relate to aviation transactions.
- Manage multiple matters simultaneously, collaborating with both internal teams and external clients to ensure timely and effective execution.
Qualifications:
- Strong understanding of secured and unsecured financing, with in-depth knowledge of the Uniform Commercial Code (UCC) Article 9 and the Cape Town Convention.
- Associate ideally Class of 2020-2022
- Experience managing and closing large financing transactions, particularly those exceeding $100 million.
- Demonstrated ability to draft, negotiate, and advise on credit agreements, leases, indentures, and other related documents.
- Knowledge of the aviation finance and leasing industry, along with familiarity with related corporate, tax, and insolvency issues.
- A proven track record of working effectively in a fast-paced, large law firm environment, managing complex matters and interacting with a diverse range of clients.
- Strong academic background with exceptional drafting, negotiation, and organizational skills.
- Ability to work both independently and as part of a team in a collaborative, fast-paced environment.
- Admission to practice law in New York.
